Section 1 Scope
- These terms apply to all contracts between Mike Möhler & Jamy Fritzler GbR (“MJF Partners”, “we”), Markgrafenstraße 147, 79211 Denzlingen, and its customers (“Customer”).
- Our services are aimed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. We do not conclude contracts with consumers.
- Deviating terms of the Customer only apply if we expressly agree to them in text form.
Section 2 Conclusion of contract
- Descriptions on our website, including the free service analysis, do not constitute a binding offer.
- The contract is concluded when the Customer accepts our individual offer in text form. The content and scope of the services are set out in the offer and these terms.
Section 3 Services
- We provide services, in particular customer service, returns and complaint management for online shops, consulting, software development and marketing. We owe the agreed activity, not a particular economic success, unless expressly agreed otherwise.
- In customer service, we act in the Customer’s name and according to the jointly defined rulebook (such as return deadlines, goodwill limits, tone of voice). Decisions outside the rulebook, in particular goodwill above the agreed limits, are made by the Customer.
- We only initiate refunds within the rulebook and exclusively through the Customer’s payment accounts. We do not accept payments on behalf of the Customer.
- We use technical aids, including automated text processing. Only what clearly follows a rule in the rulebook is sent automatically; everything else is reviewed by our team. Whether and how end customers are informed of this is agreed with the Customer in the rulebook. [Check labelling obligations under the EU AI Act]
- We may use suitable subcontractors. Section 9 applies to personal data.
Section 4 Customer’s cooperation
- The Customer provides the necessary information and access in good time (such as shop system, mailboxes, channels) and keeps the rulebook up to date.
- The Customer makes the decisions submitted to it within the stated deadlines. Delays caused by a lack of cooperation are not our responsibility.
- The Customer remains responsible towards its customers for its offers, prices, products, return conditions and legal texts.
Section 5 Remuneration and payment
- The remuneration is set out in the offer. All prices are exclusive of statutory VAT.
- Invoices are payable without deduction within [14] days of receipt. [Billing model: monthly in advance, by volume or similar]
Section 6 Term and termination
- Ongoing services such as customer service are agreed for a minimum term of [months] and are then extended by [months] at a time unless terminated with [weeks/months] notice to the end of the term.
- The right to extraordinary termination for good cause remains unaffected.
- Termination must be in text form.
- After the end of the contract, we hand over open cases in an orderly manner and delete or hand over data in accordance with the data processing agreement.
Section 7 Rights of use
For work results created individually for the Customer (such as texts, designs, software), the Customer receives, after full payment, a simple right of use for the agreed purpose, unlimited in time and territory, unless otherwise stipulated in the offer. Rights to our general tools, templates and software remain with us.
Section 8 Liability
- We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
- In the event of a slightly negligent breach of essential contractual obligations, our liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the Customer may regularly rely.
- Otherwise, liability for slight negligence is excluded.
- We are not liable for the consequences of decisions that the Customer makes itself or that are based on its rulebook.
Section 9 Data protection and confidentiality
- Where we process personal data on behalf of the Customer, the parties conclude a data processing agreement under Art. 28 GDPR.
- Both parties treat the other party’s confidential information as confidential, including after the end of the contract.
Section 10 References
We only name the Customer as a reference with its prior consent in text form.
Section 11 Final provisions
- The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
- If the Customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is our registered office in Denzlingen.
- Should any provision be invalid, the remainder of the contract remains effective. The statutory provision then applies.
